1. ACCEPTANCE AND ELIGIBILITY

1.1 Acceptance of Terms

By creating an account, connecting a wallet, or otherwise using the Platform, you:

• Accept and agree to be bound by these Terms
• Represent that you have the legal capacity to enter into these Terms
• Acknowledge the risks associated with blockchain technology and digital assets

1.2 Eligibility Requirements

You must meet ALL of the following requirements:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Not be a resident or citizen of a Restricted Jurisdiction (defined below)
• Have full legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable laws
• Not be subject to economic sanctions or on any prohibited persons list

2.1 GameFi Ecosystem

TrixTri provides a blockchain-based gaming platform featuring:

• NFT System: Character NFTs across multiple tiers (Bronze, Silver, Gold, Platinum, Diamond, Joker)
• Token Economy: TRI utility tokens for platform interactions
• Staking Mechanisms: Earn rewards through token and NFT staking
• Educational Games: Learn about Web3, DeFi, and blockchain security
• Governance Participation: Vote on platform decisions using ZK-proof voting
• Social Features: Interact with AI characters and community members

2.2 Service Limitations

• Services are provided "as is" and "as available"
• We reserve the right to modify, suspend, or discontinue any service
• Platform availability may vary by jurisdiction
• Features may be limited during beta or testing phases

3. USER ACCOUNTS AND WALLETS

3.1 Account Creation

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your account credentials secure and confidential
• Accept responsibility for all activities under your account

We may require identity verification for:

• Large transactions or withdrawals

4. DIGITAL ASSETS AND TRANSACTIONS

4.1 Nature of Digital Assets

• NFTs and tokens are digital assets on blockchain networks
• Ownership is determined by blockchain records
• Digital assets have no inherent or guaranteed value
• Values can fluctuate dramatically and may become worthless

4.3 Gas Fees and Network Costs

Users are responsible for all blockchain network fees ("gas fees") associated with transactions. These fees are paid to network validators, not TrixTri.

5. INTELLECTUAL PROPERTY

5.1 TrixTri IP Rights

TrixTri owns or licenses all intellectual property rights in:

• Platform software, code, and interfaces
• TrixTri brand, logos, and trademarks
• Game mechanics, algorithms, and formulas
• Character designs and artwork (unless otherwise specified)
• Educational content and materials

5.2 NFT Ownership Rights

When you own a TrixTri NFT:

• You own the NFT token itself on the blockchain
• You receive a limited license to display the associated artwork
• You may trade, sell, or transfer the NFT
• You do NOT receive copyright or trademark rights to the artwork
• Commercial use requires separate licensing agreement

5.3 User Content

By submitting content to the Platform, you grant TrixTri a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content for Platform operations.

6. PROHIBITED ACTIVITIES

6.1 You SHALL NOT:

• Violate any applicable laws or regulations
• Use the Platform for money laundering or terrorist financing
• Engage in market manipulation or wash trading
• Create multiple accounts to circumvent restrictions
• Use bots or automation without authorization
• Attempt to hack, exploit, or reverse-engineer the Platform
• Impersonate others or provide false information
• Engage in scams, phishing, or fraudulent activities
• Harass, threaten, or harm other users
• Post illegal, offensive, or inappropriate content
• Interfere with Platform operations or other users' enjoyment
• Circumvent any security or access controls

6.2 Enforcement

Violations may result in:

• Immediate account suspension or termination
• Forfeiture of digital assets (where legally permissible)
• Legal action and reporting to authorities
• Permanent ban from the Platform

7. RISKS AND DISCLAIMERS

7.2 No Investment Advice

Nothing on the Platform constitutes investment, financial, legal, or tax advice. You should consult professional advisors before making any decisions.

7.3 No Guarantees

We do NOT guarantee:

• Future value or returns on any digital assets
• Continuous or uninterrupted Platform availability
• Success of the TrixTri project or ecosystem
• Liquidity for NFTs or tokens

8. LIMITATION OF LIABILITY

8.2 Indemnification

You agree to indemnify and hold harmless TrixTri from any claims, damages, losses, or expenses arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your negligence or willful misconduct

9. DISPUTE RESOLUTION

9.1 Governing Law

These Terms are governed by the laws of the British Virgin Islands, without regard to conflict of law principles.

9.2 Arbitration Agreement

9.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

9.4 Exceptions

The following disputes are excluded from arbitration:

• Intellectual property infringement claims
• Small claims court matters (where applicable)
• Injunctive relief for Platform security

10. GOVERNANCE AND VOTING

10.1 DAO Participation

• Governance rights are determined by token and NFT holdings
• Voting power uses quadratic voting mechanisms
• Zero-knowledge proofs ensure vote privacy
• Governance decisions are binding on all users

10.2 Proposal Rights

Users meeting threshold requirements may submit governance proposals subject to community review and voting.

11. PRIVACY AND DATA PROTECTION

Your privacy is important to us. Please review our Privacy Policy for information on how we collect, use, and protect your data.

11.1 Blockchain Transparency

You understand that blockchain transactions are public and permanent. We cannot delete or modify blockchain records.

12. TERMINATION

12.1 Termination by User

You may terminate your account at any time by:

• Submitting a termination request through the Platform
• Withdrawing all digital assets from Platform contracts
• Ceasing all use of Platform services

12.2 Termination by TrixTri

We may suspend or terminate your account for:

• Violation of these Terms
• Suspicious or fraudulent activity
• Legal or regulatory requirements
• Extended period of inactivity

12.3 Effect of Termination

• Loss of access to Platform features
• Withdrawal period for digital assets (where applicable)
• Survival of applicable Terms provisions

13. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Material changes will be notified through:

• Platform announcements
• Email notifications to registered users
• Governance proposal (for significant changes)

Continued use after changes constitutes acceptance of modified Terms.

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any game-specific rules, constitute the entire agreement between you and TrixTri.

14.2 Severability

If any provision is found unenforceable, the remaining provisions shall continue in full force.

14.3 No Waiver

Our failure to enforce any right or provision shall not constitute a waiver.

14.4 Assignment

You may not assign these Terms without our consent. We may assign our rights to any successor or affiliate.

14.5 Force Majeure

We shall not be liable for delays or failures due to circumstances beyond our reasonable control.

14.6 Relationship

Nothing in these Terms creates a partnership, joint venture, or agency relationship.
